Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") governs participation in the Escalium Affiliate Program ("Program") and is entered into between Escalium Group ("Escalium", "Company", "we", "us", or "our") and the individual or entity participating in the Program ("Affiliate", "you", or "your").

By registering for or participating in the Program, including by signing the affiliate form in the Escalium dashboard with your name, you acknowledge that you have read, understood, and agree to be bound by this Agreement. The version of this Agreement published at escalium.io/affiliates/contract is the one in force at any time.

1. Purpose of the Agreement

The purpose of this Agreement is to establish the terms under which Affiliates may promote Escalium's software products and services and receive commissions for qualifying paid subscriptions generated through their unique affiliate referral link.

Escalium is a digital marketing and content creation software platform serving the music industry and creators, including artists, managers, record labels, content creators, and related professionals. Its products include, among others, the music marketing platform and the advanced video editor.

2. Independent Contractor Relationship

Affiliates participate in the Program as independent contractors. Nothing in this Agreement shall be interpreted as creating an employment relationship, partnership, joint venture, agency relationship, franchise, fiduciary relationship, or legal representation between the Affiliate and Escalium.

Affiliates are free to determine their own marketing methods, schedules, and promotional strategies, provided they comply with this Agreement.

Affiliates may state that they work with or collaborate with Escalium as affiliates but may not represent themselves as company executives, owners, partners, shareholders, employees, officers, or authorized representatives of Escalium.

3. Eligibility and Approval

Participation in the Program is available worldwide. Individuals under the age of eighteen (18) may participate only with the verifiable consent of a parent or legal guardian. By participating in the Program, you represent and warrant that you have the legal capacity to enter into this Agreement.

To join, the Affiliate must hold an Escalium account and complete the affiliate form in the Affiliate section of the dashboard. Approval is automatic: the Affiliate is admitted to the Program and receives a referral link as soon as the form is submitted. The information provided in the form is used to get to know the Affiliate and to support their promotion, and must be truthful.

Automatic approval does not limit Escalium's rights under sections 13 and 15, including the right to revoke participation.

4. Affiliate Links and Attribution

Escalium will provide each Affiliate with a unique referral link (escalium.io/ref/<code>) through the Affiliate section of the Escalium dashboard. A referral will be considered valid only when:

  • The customer accesses Escalium through the Affiliate's referral link;
  • The referral is properly tracked by Escalium's systems;
  • The referred customer creates an Escalium account within the cookie period; and
  • The referred customer purchases a paid subscription.

Registrations alone do not qualify for commissions.

Escalium uses a twelve (12) month cookie period. Commissions are attributed using a Last Click Attribution model: the Affiliate whose referral link was clicked most recently before the customer creates their account receives the referral. A customer can be attributed to only one Affiliate, and an Affiliate cannot refer their own account.

5. Commissions

Affiliates shall receive a commission equal to thirty-three percent (33%) of the subscription revenue generated by qualifying referred customers, calculated on the amounts actually paid by the customer after any discounts and net of refunds and chargebacks.

The commission is recurring and lifetime-based, meaning the Affiliate will continue receiving commissions for as long as the referred customer maintains an active paid subscription with Escalium, for every monthly or yearly payment they make.

Customers referred through affiliate links receive a fifteen percent (15%) discount, applied automatically at checkout: on their first three (3) monthly payments on a monthly plan, or on their first yearly payment on a yearly plan. This discount is in addition to the two (2) free months included in yearly plans, and is not combined with other promotion codes or discount links. Escalium may change or end customer discounts in accordance with section 14.

No commissions shall be paid for free registrations, trial accounts that do not convert to paid subscriptions, fraudulent transactions, chargebacks, refunded or invalid payments, self-referrals, or activity that violates this Agreement.

6. Payment Terms

Commissions are paid monthly in United States Dollars (USD). The minimum payout threshold is fifty United States Dollars (USD $50); commissions below it carry over to the following months until it is reached. Payments may be made through:

  • Bank Transfer;
  • PayPal;
  • Wise;
  • Any additional payment methods agreed between Escalium and the Affiliate.

Payouts are requested by writing to hello@escalium.io once the threshold is reached. Escalium may ask for the information required to make the payment and to comply with the law.

Escalium shall bear reasonable payment processing and transfer fees.

Affiliates are solely responsible for reporting, declaring, and paying any taxes, duties, levies, social contributions, or other governmental charges arising from their participation in the Program.

7. Permitted Promotional Activities

Affiliates may promote Escalium using any lawful marketing methods, including but not limited to:

  • Social media marketing;
  • Content creation;
  • Paid advertising;
  • Search engine marketing;
  • Community engagement;
  • Email marketing conducted in compliance with applicable laws.

Affiliates are encouraged to market Escalium to artists, managers, record labels, content creators, and other relevant audiences.

8. Prohibited Activities

Affiliates shall not:

  • Publish or distribute misleading, deceptive, or false advertising;
  • Create or distribute fake news concerning Escalium or its competitors;
  • Make false promises, guarantees, or representations regarding results, earnings, business growth, or platform performance;
  • Impersonate Escalium or falsely claim authority to act on behalf of Escalium;
  • Claim ownership, equity participation, executive status, or decision-making authority within Escalium;
  • Engage in activities that may damage Escalium's reputation, goodwill, brand image, or business interests;
  • Register, acquire, or use domain names containing the Escalium trademark, brand name, or confusingly similar variations;
  • Bid on the Escalium brand name or confusingly similar terms in search advertising;
  • Publish Escalium promotion codes on coupon or discount websites, or share codes not issued to the Affiliate;
  • Generate fraudulent traffic, fake accounts, bots, automated signups, self-referrals, or artificial transactions;
  • Engage in any unlawful activity.

Affiliates may share their own personal experiences and results with Escalium provided that such statements are truthful and accurately represent their individual experience.

9. Paid Advertising

Affiliates may use paid advertising platforms, including Google Ads, Meta Ads, TikTok Ads, and similar services, provided that:

  • Advertising remains truthful and transparent;
  • Advertising complies with this Agreement and with the policies of the advertising platform;
  • Advertising does not mislead users regarding the nature of Escalium or its services.

10. Brand and Intellectual Property

During participation in the Program, Affiliates are granted a limited, non-exclusive, revocable license to use Escalium's trademarks, logos, and brand assets solely for the purpose of promoting Escalium. Affiliates shall not:

  • Modify trademarks in a misleading manner;
  • Use trademarks in a way that suggests ownership or endorsement beyond participation in the Affiliate Program;
  • Use trademarks in connection with prohibited activities.

Escalium retains all ownership rights in its intellectual property.

10A. Affiliate Content License

The Affiliate acknowledges that any content, promotional material, advertisement, publication, social media post, video, image, audio recording, testimonial, review, case study, presentation, marketing asset, or other material created by the Affiliate that references, promotes, mentions, displays, or relates to Escalium, its products, services, brand, trademarks, platform, customers, or business activities ("Affiliate Content") may be used by Escalium for marketing, advertising, promotional, commercial, educational, and business purposes.

The Affiliate retains ownership of their Affiliate Content. However, by participating in the Affiliate Program and publishing Affiliate Content related to Escalium, the Affiliate grants Escalium Group a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, non-exclusive license to use, reproduce, distribute, modify, adapt, translate, publish, display, perform, promote, create derivative works from, and otherwise exploit such Affiliate Content in any media or format now known or later developed.

Escalium may use Affiliate Content without additional approval, notice, attribution, compensation, or royalty payments to the Affiliate.

The Affiliate represents and warrants that they possess all necessary rights, permissions, and authorizations required to grant the license described in this section. The rights granted under this section shall survive termination of this Agreement.

11. Customer Ownership

All customers referred through the Affiliate Program become customers of Escalium. Affiliates acquire no ownership rights, contractual rights, or customer relationship rights over referred customers.

12. Data Protection and Privacy

Affiliates shall comply with all applicable privacy and data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

Escalium does not provide Affiliates with personally identifiable customer information. The affiliate dashboard displays limited performance metrics and anonymized, aggregated data solely for reporting purposes, such as clicks, unique visitors, sign-ups, paying customers and commissions, and the sources, channels, countries, devices, operating systems, browsers and languages of the visits. Escalium records clicks on referral links without storing visitors' IP addresses.

Affiliates shall not attempt to identify, collect, access, or reconstruct customer personal information from anonymized data.

13. Fraud Prevention

Escalium reserves the right to investigate any activity suspected of fraud, abuse, manipulation, or violation of this Agreement.

If Escalium determines, in its reasonable discretion, that an Affiliate has engaged in prohibited conduct, Escalium may:

  • Terminate Affiliate participation immediately;
  • Withhold unpaid commissions;
  • Cancel commissions arising from prohibited activities;
  • Remove Affiliate access to the Program.

Such decisions shall be final unless otherwise required by applicable law.

14. Program Modifications

Escalium reserves the right to modify, suspend, or update the Affiliate Program and this Agreement at any time. Material changes, including commission structure changes, shall be communicated with at least fifteen (15) days' prior notice, by email or in the affiliate dashboard, and published on this page.

Any commissions already earned prior to the effective date of such modifications shall remain payable under the terms applicable at the time they were earned.

Continued participation in the Program after the effective date of modifications constitutes acceptance of the updated terms.

15. Term and Termination

This Agreement remains in effect indefinitely unless terminated in accordance with this section.

Affiliates may cease participation at any time by discontinuing promotional activities or by notifying Escalium at hello@escalium.io.

Escalium may terminate an Affiliate's participation immediately in the event of fraud, misconduct, reputational harm, violation of this Agreement, or any activity deemed harmful to the Company.

Termination shall not affect commissions lawfully earned prior to termination, except where such commissions arose from prohibited conduct.

16. Disclaimer of Warranties

The Affiliate Program is provided on an "as is" and "as available" basis. Escalium makes no guarantees regarding:

  • Earnings;
  • Conversion rates;
  • Customer retention;
  • Affiliate success;
  • Revenue generation.

Affiliate results will vary depending on individual efforts and market conditions. Any earnings examples or calculators published by Escalium are illustrations, not promises.

17. Limitation of Liability

To the maximum extent permitted by law, Escalium shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation in the Affiliate Program.

Escalium's total liability under this Agreement shall not exceed the total commissions paid to the Affiliate during the twelve (12) months preceding the event giving rise to the claim.

18. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Spain, excluding conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved through binding international arbitration. The seat of arbitration shall be Málaga, Spain. The arbitration shall be conducted in English.

The arbitral award shall be final and binding upon both parties and may be enforced in any court of competent jurisdiction.

19. Entire Agreement

This Agreement constitutes the entire agreement between Escalium and the Affiliate regarding participation in the Affiliate Program and supersedes all prior communications, understandings, and agreements relating thereto, including the previous version of this Agreement dated June 6th 2026.

20. Language

This Agreement is published in English and Spanish. In the event of any discrepancy between the versions, the English version shall prevail.

By registering for and participating in the Escalium Affiliate Program, the Affiliate acknowledges and agrees to all terms contained herein.
